These Terms of Service ("Terms") govern your use of the Trellis Data Partners website and the data consulting services ("Services") provided by Trellis Data Partners ("Trellis," "we," "us," or "our"). By engaging our Services or using this website, you agree to these Terms.
1. Services
Trellis provides database audits, data cleanup, CRM and practice-management migration support, and related consulting services. The specific scope, deliverables, and fee for any engagement are agreed in writing (including by email) before work begins. These Terms apply alongside, not in place of, any signed engagement letter or statement of work.
2. Fixed-Fee Audits
Where an audit or diagnostic is described as fixed-fee, that fee covers the audit only, is agreed before work begins, and does not obligate you to purchase any further services.
3. Client Data
In the course of an engagement, you may share data extracts, exports, or system access with us. You represent that you have the right to share that data with us for the purpose of the engagement. We access and use client data solely to perform the Services, and handle it consistent with our Privacy Policy and the security practices described on our Data Security page.
4. Confidentiality
We treat information you share with us as confidential and will not disclose it to third parties except as needed to perform the Services (for example, coordinating with a software implementer at your direction), as required by law, or with your consent.
5. Fees and Payment
Fees, payment terms, and any expenses are set out in the applicable engagement agreement. Late payment may result in a pause of active work until the account is current.
6. Intellectual Property
Deliverables prepared specifically for you as part of an engagement (such as audit reports and migration documentation) are yours to use for your organization once paid for in full. Our general methods, templates, and know-how remain our property and may be reused across engagements.
7. Limitation of Liability
To the maximum extent permitted by law, Trellis's total liability arising from any engagement is limited to the fees paid for that engagement. We are not liable for indirect, incidental, or consequential damages, including lost data, lost profits, or delays caused by third-party software vendors or platforms outside our control.
8. Third-Party Services
Our Services may involve coordinating with third-party software vendors or platforms (for example, a CRM or practice-management provider) at your direction. We are not responsible for those third parties' products, pricing, or performance.
9. Termination
Either party may end an engagement as set out in the applicable engagement agreement. Fees for work already performed remain due.
10. Changes to These Terms
We may update these Terms from time to time. The version posted on this page applies going forward; material changes affecting an active engagement will be communicated directly.
